Content License & Work Made for Hire Agreement
Last updated: 2026-09-07
This agreement applies each time a Model submits proof of performance (a photo, video, screenshot, or other material documenting a Campaign, "Content") for a Campaign, and is between that Model and the Brand who posted the Campaign. By submitting Content, the Model agrees to the following.
0. What is being paid for
A Campaign is a real-world service: the Model displays, wears, or otherwise uses branded materials at a physical location during an agreed window, as described in section 1 of the Terms. The Campaign’s pay rate is consideration for performing that service. Proof of performance is how the Brand verifies the service was performed, and the rights granted below attach to that documentation as an incidental part of the engagement. Nothing in this agreement is a sale of digital content, and no separate charge is made for the Content or for the rights in it.
1. Work made for hire
To the extent the Content qualifies as a "work made for hire" under the U.S. Copyright Act (17 U.S.C. § 101), the Model agrees that the Brand is the author and owner of all rights in the Content, including copyright.
2. Assignment
To the extent the Content is not, or is later determined not to be, a work made for hire, the Model hereby irrevocably assigns, transfers, and conveys to the Brand all right, title, and interest in and to the Content, including all copyright and other intellectual property rights therein, effective upon submission. The Model agrees to execute any further documents reasonably requested to confirm this assignment.
3. Exclusive perpetual license (backstop)
To the extent the work-made-for-hire designation or assignment above is not fully effective in a particular jurisdiction, the Model grants the Brand an exclusive, perpetual, worldwide, irrevocable, transferable, and sublicensable license to use, reproduce, modify, adapt, publicly display, publicly perform, distribute, and create derivative works from the Content, in any medium now known or later developed, for any purpose, without further compensation beyond the Campaign's pay rate.
4. Model release
To the extent the Content includes the Model's name, image, likeness, or voice, the Model grants the Brand the right to use that name, image, likeness, and voice in connection with the Content for the purposes described above, and releases the Brand and knowbody from any claim arising from that use, including any right of publicity claim, except for uses that are unlawful or defamatory.
5. Model's representations
The Model represents that: (a) the Content is the Model's own work or the Model otherwise has full authority to grant the rights described in this agreement; (b) the Content does not infringe any third party's intellectual property, publicity, or privacy rights; and (c) the Model has not granted any conflicting rights in the Content to another party.
6. Moral rights
To the extent permitted by law, the Model waives any moral rights in the Content, including the right to be identified as its author and the right to object to modification.
7. Compensation
The Campaign's pay rate (net of the Platform's fee) is consideration for the Model's performance of the Campaign, and covers the rights granted in this agreement without any additional or separate charge. The Model is not entitled to additional compensation for the Brand's future use of the Content.
8. knowbody's role
knowbody is not a party to the rights granted under this agreement; it facilitates the Campaign and payment but the license, assignment, and release above run directly between the Model and the Brand.
